Mining

Our lawyers regularly advise both junior and major mining companies in connection with the development and operation of their projects in Sub-Saharan Africa. We have unparalleled knowledge of many African mining laws along with all relevant commercial and legal trends of this ever-evolving market. Our lawyers have been involved in several renegotiation and revisitation procedures on behalf of our clients, including in Guinea, the Democratic Republic of Congo and Tanzania. Our assistance covers legal and regulatory due diligence, as well as drafting and (re)negotiation of mining concessions and investment and partnership agreements with Host States.

Transport Infrastructure

We have developed an unrivaled expertise with respect to all legal and commercial aspects related to the development and construction of port and rail infrastructure in Africa. We assist our clients both on the structuring of their projects and the related negotiations with Host States (with an in-depth knowledge of the concession documentation). We are also very familiar with the commercial structures of, and have implemented legal schemes for, the shared use of such infrastructure (multi-user agreements and/or independent operator).

Power

LLS has substantial experience in IPP projects both in France and in Africa (North Africa and sub-Saharan Africa). Our practice covers the drafting and negotiation of project documentation (PPA, EPC, O&M, LTSA, Host Government Agreement) as well as any other aspects relating to the acquisition/disposal of these assets. Our expertise and assistance cover power generation both from thermal and renewable sources (wind, solar, hydraulic and geothermal). Our lawyers also have a recognized expertise of the French regulatory framework applicable to electricity generation and have negotiated directly with representatives of CRE or the Ministry of Ecology in this area.

Acquisitions

We provide our clients with an acute expertise with respect to the acquisition and/or liquidation of their investments in the infrastructure, mining, energy, transportation and real estate sectors. Our sector-specific knowledge and experience makes us particularly aware of the risks (legal and commercial) related to their contemplated transactions. Identifying these risks allows for a better assessment of the tools and mechanisms that can effectively protect the interests of our clients.
